1. Acceptance of Terms
By creating an account, claiming a early launch pass, accessing the Scratchly web application, or utilizing our APIs, you ("Customer", "User", or "You") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of an entity, you represent that you have the authority to bind such entity.
2. Accounts & Access
You are responsible for maintaining the confidentiality of your workspace credentials and for all activities that occur under your user accounts. You agree to immediately notify Scratchly of any unauthorized access or security breaches.
3. Customer CRM Data Ownership
You retain all right, title, and interest in and to all contact records, sales pipeline metrics, deal values, and notes uploaded to or processed by Scratchly ("Customer Data"). Scratchly claims zero ownership rights over Customer Data.
4. Acceptable Use Policy
You agree not to:
- Use the Service to transmit unsolicited commercial communications ("spam") in violation of CAN-SPAM or GDPR.
- Attempt to probe, scan, or test the vulnerability of any Scratchly system without explicit authorization.
- Reverse engineer, decompile, or extract source code from the Scratchly platform or its proprietary client algorithms.
- Resell, sublicense, or rent access to your Scratchly workspace to unauthorized third parties.
5. Service Availability & Uptime
Scratchly strives to maintain a 99.9% application uptime commitment. Scheduled maintenance windows will be announced with at least 48 hours notice.
6. Subscriptions & Billing
Early access passes are provided complimentary ahead of our September 2026 public rollout. Paid tiers and custom enterprise contracts will be billed on a recurring monthly or annual basis following launch, with transparent pricing and no hidden data fees.
7. Intellectual Property
The Scratchly trademark, visual interfaces, graphics, design system, interactive physics controllers, and underlying code are the exclusive intellectual property of Scratchly.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Scratchly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
9. Termination
You may terminate your workspace and export your data at any time from your account settings. Scratchly reserves the right to suspend or terminate accounts that violate our Acceptable Use Policy.
